1 Scope
These General Terms and Conditions (hereinafter referred to as GTC) apply to all legal transactions concluded via Gsell Commerce GmbH (hereinafter referred to as the online shop).
Gsell Commerce GmbH reserves the right to amend these GTC at any time. The version of these GTC valid at the time of the order shall apply and cannot be amended unilaterally for that order. Any terms and conditions of the customer that conflict with or deviate from these GTC shall not be recognised.
The offer of products and services in the online shop is aimed exclusively at customers with a residential or business address in Switzerland or Liechtenstein.
Deliveries are made exclusively to addresses in Switzerland or Liechtenstein.

The offer is valid as long as the product can be found via the search function in the online shop and/or while stocks last.
By placing an order, the customer confirms compliance with these legal provisions.
Orders in quantities not customary for a household may be rejected without stating reasons.

2 Information
Images of products in the online shop, flyers, etc. are for illustration purposes only and are non-binding.
Gsell Commerce GmbH reserves the right to change the prices of the products and services offered at any time. The price displayed in the online shop at the time of the order is decisive for the conclusion of the purchase contract.
All information regarding availability and delivery times is provided without guarantee and may change at any time. Delivery delays may occur, for example, due to production or supply shortages.

3 Conclusion of contract
The products and prices in the online shop are considered an offer. However, this offer is always subject to the condition subsequent of delivery being impossible or an incorrect price being stated.
The purchase contract for products or services of Gsell Commerce GmbH is concluded as soon as the customer places an order in the online shop, by telephone or by e-mail (hereinafter referred to as purchase contract).
The receipt of an online order is confirmed to the customer by means of an automatically generated order confirmation sent to the e-mail address provided by the customer. Receipt of the automatically generated order confirmation does not constitute a guarantee that the product can actually be delivered.

4 Delivery date
After the order confirmation, the customer will be contacted to arrange an individual delivery date.
If Gsell Commerce GmbH is in default of delivery, the customer has the right to withdraw from the contract from the 60th calendar day after the announced delivery date. In this case, Gsell Commerce GmbH will refund any amounts already paid in advance by the customer. No further claims against Gsell Commerce GmbH shall exist.

5 Delivery / collection in store
Products can be delivered to the customer exclusively by shipping.
The customer’s delivery address must be in Switzerland or Liechtenstein and must be easily accessible by lorry. If this is not the case, the customer shall bear any additional costs.
If the customer does not accept the ordered products on the agreed delivery date, Gsell Commerce GmbH may terminate the contract (cancel the order) and charge the customer for the delivery costs incurred and any loss in value.

6 Duty to inspect
The customer must immediately inspect delivered products for correctness, completeness and delivery damage. Any delivery damage must be noted on the delivery note and Gsell Commerce GmbH must be contacted immediately.
Delivery damage, incorrect deliveries and incomplete deliveries must be reported within 3 calendar days from the time of delivery. The customer must not put such a product into operation. The customer must keep it as received, in its original packaging, and report the defect to Gsell Commerce GmbH immediately.

7 Warranty
Gsell Commerce GmbH provides a 2-year warranty from delivery for the absence of defects and the functionality of the ordered product. The warranty period continues regardless of any warranty services provided. Gsell Commerce GmbH may fulfil the warranty, at its discretion, by free repair (the original warranty period continues for the entire product), partial or complete replacement with an equivalent, used or repaired product, replacement with a new product, credit at the current daily price (up to a maximum of the sales price at the time of the order), or a price reduction.
Wear parts are excluded from the warranty. In all other respects, the liability exclusions set out in section 8 apply.
All further provisions, in particular statutory warranty provisions, are excluded.

8 Liability and exclusion of liability
Liability is governed by the applicable statutory provisions. However, Gsell Commerce GmbH shall in no case be liable for slight negligence, indirect and consequential damages, loss of profit, unrealised savings, damages resulting from delivery delays, or any acts or omissions of auxiliary persons of Gsell Commerce GmbH, whether contractual or non-contractual.
Furthermore, Gsell Commerce GmbH declines any liability in the event of improper, non-contractual or unlawful storage, adjustment or use of the products. This also applies to the use of incompatible spare parts or accessories, lack of maintenance and/or improper modification or repair by the customer or a third party. It also applies in cases of force majeure, in particular damage caused by natural events, moisture, falls and impacts, etc., which are not attributable to Gsell Commerce GmbH, as well as official orders.

9 Payment
All payment claims for products and services purchased via the online shop of Gsell Commerce GmbH are asserted directly by Gsell Commerce GmbH against the customer. Payments must be made in Swiss francs.
The customer may use the payment methods offered in the online shop under “Payment options”.
The current payment method fees, which may be charged by Gsell Commerce GmbH, are shown under “Payment options” and are detailed during the ordering process.
When paying by credit card or other immediate payment methods, the amount is charged at the time of the order.
In the case of advance payment, delivery will only take place after receipt of payment. Products in stock at Gsell Commerce GmbH are reserved until the payment deadline of at least 10 calendar days expires. When purchasing on invoice, the customer is obliged to pay the invoice amount without deduction within 20 calendar days of receiving the invoice.

Retention of title
Until the ordered products have been paid for in full, they remain the property of Gsell Commerce GmbH. Gsell Commerce GmbH has the right to make a corresponding entry in the retention of title register. Before ownership is transferred, the products may not be pledged, deposited as security, processed or modified without the express consent of Gsell Commerce GmbH.

Due date of payments
If the customer of Gsell Commerce GmbH fails to meet all or part of their payment obligations, all outstanding amounts owed by the customer under any title shall become due immediately. Gsell Commerce GmbH may demand these amounts immediately and suspend deliveries of products to the customer.

For the 2nd reminder, Gsell Commerce GmbH charges an administrative fee of CHF 20.-. If reminders remain unsuccessful, Gsell Commerce GmbH may assign the invoice amounts to a debt collection company. In this case, an effective annual interest rate of up to 15% may be charged on the outstanding invoice amount from the due date. The debt collection company will assert the outstanding amounts in its own name and for its own account and may charge additional processing fees.

Ordered products remain the property of Gsell Commerce GmbH until full payment has been made to Gsell Commerce GmbH. Gsell Commerce GmbH is entitled to make a corresponding entry in the retention of title register. Before ownership is transferred, pledging, transfer by way of security, processing or modification without the express consent of Gsell Commerce GmbH is not permitted.

10 Changes to the order or cancellation
Orders oblige the customer to accept the products and services. Gsell Commerce GmbH may, at its own discretion, accept subsequent changes to or cancellations of customer orders and charge an administrative fee of 10% of the cancelled order value, as well as any loss in value of the cancelled products since the order was placed.

If, after an order or the conclusion of the contract in accordance with paragraph 3, a full or partial impossibility of delivery occurs (condition subsequent), the customer will be informed immediately by e-mail. If the customer has already paid, the amount will be refunded. If no payment has yet been made, the customer will be released from the payment obligation. Further claims due to delivery delay or failure of delivery are excluded.

11 Return of defect-free goods
Gsell Commerce GmbH grants a right of return under the conditions listed in the return policy. The return policy forms an integral part of these GTC.

12 Further provisions
The processing of personal data by Gsell Commerce GmbH is governed by the privacy policy.
Should individual provisions of these GTC be invalid or ineffective, this shall not affect the validity of the remaining provisions or of these GTC as a whole.
All legal relationships between Gsell Commerce GmbH and the customer are subject to substantive Swiss law. The Vienna Convention on Contracts for the International Sale of Goods does not apply.
For all claims in which Gsell Commerce GmbH is a contracting party, the place of jurisdiction shall be Frauenfeld TG.
